1. Introduction

These Terms of Service (“Terms”) form a binding agreement between you (“Customer,” “you,” or “your”) and Cloud Fixer (“Cloud Fixer,” “we,” “us,” or “our”). By using our website, hosting, or technical services (“Services”), you agree to these Terms. If you do not agree, do not use our Services.

2. Description of Services

Cloud Fixer provides hosting, management, and technology solutions including:

Website and email hosting
Server, cloud, and backup management
Migration and security services
Technical support and consulting

Services are subject to availability, limits, and these Terms. We may modify, suspend, or discontinue any Service with reasonable notice.

3. Account Setup and Security

You must provide accurate registration information and keep it current.
You are responsible for protecting your account credentials.
Notify Cloud Fixer immediately if you suspect unauthorized use.
We are not responsible for loss caused by your failure to secure your account.

4. Term and Termination

The term begins when you subscribe and pay for Services.
Subscriptions renew automatically unless canceled before the next billing period.
Either party may terminate the agreement with written notice.
We may suspend or terminate for nonpayment, abuse, or policy violation.
You are responsible for backing up or migrating your data before termination.

5. Billing and Payments

Fees are billed monthly, quarterly, or annually as selected at signup.
All charges are non-refundable unless stated otherwise in writing.
Late payments beyond 30 days may result in suspension and late fees.
Taxes and applicable fees (including Colorado sales tax) will be added to all invoices.

6. Acceptable Use

You agree not to use Cloud Fixer Services for unlawful, abusive, or disruptive activities. Prohibited actions include:

Sending spam or unsolicited bulk email
Hosting or distributing malware
Engaging in fraud, phishing, or identity theft
Disrupting or attacking networks or systems
Hosting or linking to illegal, defamatory, or obscene content

Violation of this policy may result in suspension or immediate termination without refund.

7. Intellectual Property

You retain ownership of all data and materials (“Customer Content”) you store or process using our Services.
You grant Cloud Fixer a limited license to host and process your content solely to deliver the Services.
Cloud Fixer retains all rights in its software, systems, and trademarks (“Company Materials”).
You may not copy, modify, or redistribute any portion of our systems or branding without written permission.

8. Data Privacy and Security

We respect your privacy and follow industry standards to protect your information. Please review our Privacy Policy for more details.

You are responsible for maintaining security of your accounts, devices, and any data stored with us.

9. Service Availability and Maintenance

We strive to maintain reliable uptime, but temporary downtime may occur for maintenance or network issues.
We are not liable for outages caused by third-party providers, natural events, or user error.

10. Warranties and Disclaimers

Services are provided “as is” and “as available.” Cloud Fixer makes no warranties, express or implied, including merchantability, fitness for a particular purpose, or non-infringement. We do not guarantee uninterrupted or error-free service.

11. Limitation of Liability

To the fullest extent permitted by law:

Cloud Fixer is not liable for indirect, incidental, special, or consequential damages.
Total liability shall not exceed the fees you paid in the six (6) months before the claim arose.

12. Indemnification

You agree to indemnify and hold harmless Cloud Fixer, its staff, and affiliates from any claim, loss, or expense arising from your use of the Services, violation of these Terms, or breach of law.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Colorado, USA.
Disputes shall be resolved in the state or federal courts of La Plata County, Colorado.
At our discretion, disputes may be handled by binding arbitration in Durango, Colorado.

14. Modifications to Terms

We may update these Terms at any time with notice.
Continued use after changes means you accept the updated Terms.
If you disagree, you may cancel before your next renewal.

15. Miscellaneous

These Terms and referenced policies constitute the entire agreement between you and Cloud Fixer.
If a term is found unenforceable, the rest remain valid.
Failure to enforce any right is not a waiver of that right.
You may not assign these Terms without our written consent.
Cloud Fixer may assign or transfer this agreement as needed.
